You can use this application to notify or obtain approval for an amendment to the foundation statutes.
- Complete version of the currently valid articles of association
- Complete version of the amended articles of association
- Amended articles of association (in amendment mode)
- Minutes of the meetings of the foundation bodies involved
- If applicable, proof of the significant change in circumstances
- If applicable, proof that an endowment has been made
- If required and already available: written consent from the relevant responsible bodies for church and charitable foundations, savings bank foundations and foundations in accordance with Section 15 (3) of the Foundation Act for the State of North Rhine-Westphalia (StiftG NRW)
- The amendment to the foundation statutes must have been approved by the responsible foundation bodies
- The articles of association must not contain any provision that precludes an amendment to the articles of association
- The amendment to the foundation statutes may only impair the permanent and sustainable fulfillment of the foundation's purpose if it can be proven that the circumstances have changed significantly
- The amendment to the articles of association must not jeopardize the common good
- The amended articles of association must correspond to the founder's intentions as set out in the foundation deed
- In the case of an ecclesiastical foundation, the approval of the ecclesiastical supervisory authority is required
- In the case of foundations in accordance with Section 15 (3) of the Foundation Act for the State of North Rhine-Westphalia (StiftG NRW), you require the approval of the relevant specialist department
- For savings bank foundations, depending on the wording of the statutes, you may require the approval of the administrative board of the savings banks
- Notification of a minor amendment to a foundation statute to the competent foundation authority: within one month of the resolution being passed
- Entry into force of a material amendment: upon notification of the approval notice
- Applying for amendments to the foundation statutes
- Amendments to the foundation statutes must be reported to the foundation authority
- Insignificant changes are acknowledged
